Terms of Service

Welcome to Mintnotes AI, a property of MintyDent LLC (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our dental charting SaaS web application and any related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that organization.

1. Use of the Service

• a. Eligibility: You must be at least 18 years old and have the legal authority to enter into these Terms. You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations.
• b. Account Registration: You must register an account to access the Service. You agree to provide accurate and complete information and to keep your account credentials secure.
• c. License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal, lawful business purposes related to dental care.
• d. Prohibited Data: You may not input, upload, or transmit any Personally Identifiable Information (PII) or Protected Health Information (PHI) into the Service. The Service is not designed or intended to process, store, or transmit such data. Any violation of this restriction may result in immediate termination of access.

2. User Responsibilities

• Use the Service only for lawful purposes and in accordance with these Terms.
• Comply with all data protection and privacy laws applicable to your use of the Service.
• Do not input, upload, or share any real patient data, PII, or PHI.
• Do not use the Service to upload or transmit viruses or malicious code.
• Do not reverse-engineer, decompile, or disassemble any part of the Service.
• Do not share access credentials with unauthorized users.
• You are solely responsible for any data you input into the platform. If you choose to input identifiable data in violation of these Terms, you do so at your own risk, and we disclaim all liability.

3. Patient Data and HIPAA

• The Service is not intended or authorized for the storage or processing of PHI under HIPAA.
• You agree not to enter, upload, or transmit any PHI or PII through the Service.
• If you are a Covered Entity or Business Associate under HIPAA, you acknowledge that this Service does not replace a HIPAA-compliant system.
• We do not enter into Business Associate Agreements (BAAs) for this Service unless explicitly agreed upon in writing for an enterprise plan designed for HIPAA compliance.
• If a BAA is executed, PHI may only be transmitted and stored as permitted under that agreement.

4. AI and Data Use

• The Service may include features powered by artificial intelligence (“AI”) to assist with charting, documentation, or analysis.
• AI-generated content is for informational purposes only and must be reviewed and validated by qualified professionals.
• You consent to our use of de-identified and non-personal data for improving AI functionality.
• You may opt out of such use by contacting us at support@mintynotes.ai.
• We do not use identifiable patient or personal data for public model training.

5. Fees and Payment

• If your use of the Service requires payment:
• You agree to pay all fees in accordance with the pricing plan selected.
• Subscription fees are billed in advance and are non-refundable except as required by law.
• We reserve the right to change pricing with at least 30 days' notice.
• Failure to pay fees may result in suspension or termination of access to the Service.

6. Intellectual Property

All rights, title, and interest in the Service, including software, design, logos, and content (excluding your data), are the property of MintyDent LLC or its licensors. You may not copy, modify, or distribute any part of the Service without prior written consent.

7. Termination

• We reserve the right to suspend or terminate your access to the Service at our sole discretion, with or without notice, if:
  • You violate these Terms.
  • Your payment fails or your subscription lapses.
  • We determine it is necessary for legal or security reasons.
• Upon termination, your access will be revoked, and your data may be deleted in accordance with our data retention policy.

8. Disclaimers and Limitation of Liability

a. Disclaimers: The Service is provided “as is” and “as available” without warranties of any kind. We do not guarantee that the Service will be uninterrupted or error-free. AI-generated content is not a substitute for professional clinical judgment.

b. Limitation of Liability: To the fullest extent permitted by law, MintyDent LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or related to the use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months prior to the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless MintyDent LLC, its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising out of:

• Your use or misuse of the Service.
• Your violation of these Terms or applicable laws.
• Any data (including PII or PHI) you submit in violation of these Terms.

10. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Clackamas County, OR, unless otherwise agreed in writing.
